No Warranties
USE OF THE WEBSITES AND CONTENT AVAILABLE ON THE WEBSITES ARE AT YOUR SOLE RISK. GLAUKOS HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE, UNLESS EXPRESSLY SET OUT OTHERWISE HEREIN. ALL CONTENT ON THE WEBSITES IS PROVIDED TO YOU ON AN “AS IS,” “AS AVAILABLE” BASIS. THE INFORMATION PROVIDED ON OR THROUGH THE WEBSITES MAY BE OUT OF DATE AND NEITHER GLAUKOS NOR ITS AFFILIATES MAKE ANY COMMITMENT OR ASSUME ANY DUTY TO UPDATE SUCH INFORMATION. GLAUKOS MAKES NO WARRANTY AS TO THE ACCURACY, COMPLETENESS, CURRENCY, OR RELIABILITY OF ANY CONTENT AVAILABLE THROUGH THE WEBSITES. GLAUKOS MAKES NO REPRESENTATIONS OR WARRANTIES THAT USE OF THE WEBSITES WILL BE UNINTERRUPTED OR ERROR-FREE. THE FOREGOING EXCLUSIONS OF IMPLIED WARRANTIES DO NOT APPLY TO THE EXTENT PROHIBITED BY LAW.
Limitation of Liability
GLAUKOS, ITS AFFILIATES, EMPLOYEES, OFFICERS, REPRESENTATIVES, SERVICE PROVIDERS AND ITS SUPPLIERS SPECIFICALLY DISCLAIM ANY LIABILITY, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH ACCESS TO OR USE OF THE WEBSITES OR THE PRODUCTS OR SERVICES OFFERED THEREON, EVEN IF GLAUKOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, INCLUDING BUT NOT LIMITED TO RELIANCE BY ANY PARTY ON ANY CONTENT OBTAINED THROUGH THE USE OF THE WEBSITES OR THAT ARISES IN CONNECTION WITH MISTAKES OR OMISSIONS IN, OR DELAYS IN TRANSMISSION OF, INFORMATION TO OR FROM THE USER, INTERRUPTIONS IN TELECOMMUNICATIONS CONNECTIONS TO THE WEBSITES OR VIRUSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. IN THE EVENT OF ANY PROBLEM WITH THESE WEBSITES OR ANY CONTENT, YOU AGREE THAT YOUR SOLE REMEDY IS TO CEASE USING THE WEBSITES.
IF ANY PART OF THIS LIMITATION ON LIABILITY IS FOUND TO BE INVALID OR UNENFORCEABLE FOR ANY REASON, THEN THE AGGREGATE LIABILITY OF A COMPANY UNDER SUCH CIRCUMSTANCES FOR LIABILITIES THAT OTHERWISE WOULD HAVE BEEN LIMITED SHALL NOT EXCEED THE LOWEST LIMITATION OF LIABILITY ALLOWED BY LAW, OR, IN THE EVENT SUCH AMOUNT IS NOT PRESCRIBED BY LAW, ONE HUNDRED DOLLARS ($100).
Indemnification
You agree to defend, indemnify and hold Glaukos, its employees, officers, representatives, suppliers or service providers harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Websites and breach of these Terms of Use or the documents they incorporate by reference (including, but not limited to, our Privacy Policy) or your violation of any law or the rights of a third party.
Location and Applicable Law
The Websites are operated by Glaukos from Aliso Viejo, California. The information provided on the Websites are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Glaukos or its affiliates to any registration requirement within such jurisdiction or country. Those who choose to access the Websites from such other locations do so on their own initiative and are responsible for compliance with applicable local laws.
Any claim arising out of or relating to the Websites, including the services provided through the Websites or the content of the Websites, shall be governed by the laws of the state of Delaware, without reference to its choice of law provisions. Without limiting the effect of any disclaimer contained herein, any cause of action you may have with respect to your use of the Websites must be commenced within one (1) year after the claim or cause of action arises.
Notwithstanding the foregoing, if you are a consumer located outside the United States, nothing in these Terms of Use limits any rights you may have under the mandatory laws of the jurisdiction in which you reside, and to the extent such mandatory laws apply, they will govern with respect to such rights.
Dispute Resolution
For Business Disputes
If you are a healthcare provider or other business, in the event that any dispute, claim or controversy (collectively, a “Dispute”) arises out of or relates to any provision of these Terms of Use or your use of the Websites, Glaukos and you shall attempt a good faith resolution of such Dispute within thirty (30) days after either party notifies the other of such Dispute. If such Dispute is not resolved within thirty (30) days after such notification, the parties shall submit such Dispute to binding arbitration before a single arbitrator selected jointly by the parties. The arbitration shall be conducted in Orange County, California and judgment upon the award may be entered into any court having jurisdiction thereof. Nothing herein, however, shall prohibit either party from seeking injunctive or other equitable relief from any court of competent jurisdiction.
If you and Glaukos have entered into a separate written agreement, the dispute resolution provisions of said written agreement will supersede those in the preceding paragraph, including for Disputes arising out of or relating to your use of the Websites.
For Consumer Disputes
The following terms apply to any Dispute brought by a Consumer. As used in this Section, “Consumer” means an individual who accesses or uses the Websites primarily for personal, family, or household purposes, and not on behalf of a business, healthcare practice, or other commercial entity.
Binding Arbitration. Consumer and Glaukos agree that all Disputes shall be resolved by final and binding individual arbitration administered by JAMS pursuant to the JAMS Consumer Arbitration Minimum Standards of Procedural Fairness (effective May 1, 2024) and the JAMS Streamlined Arbitration Rules and Procedures, or such other JAMS rules as JAMS determines to be applicable, each as in effect at the time arbitration is initiated. The JAMS rules are available at www.jamsadr.com or by calling 1-800-352-5267. In the event of any conflict between the JAMS rules and this Section, the JAMS Consumer Arbitration Minimum Standards of Procedural Fairness shall control to the extent required by JAMS policy.
Arbitration Fees. The Consumer’s share of JAMS filing, administrative, and arbitrator fees shall not exceed $250. Glaukos shall bear all remaining JAMS fees and arbitrator compensation, regardless of the outcome of the arbitration.
Arbitrator Selection and Conduct. The arbitration shall be conducted before a single, neutral arbitrator selected in accordance with the applicable JAMS rules. The arbitrator shall have authority to award any remedy available under applicable law, including individual monetary relief, declaratory relief, and injunctive relief limited to the Consumer’s individual circumstances. The arbitrator shall apply Delaware law consistent with the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) and applicable statutes of limitations. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. At the Consumer’s election, the arbitration hearing may be conducted: (i) by videoconference or telephone; (ii) in person in the county or parish in which the Consumer resides; or (iii) in Orange County, California. For claims of $10,000 or less, the Consumer may elect to proceed solely on the basis of written submissions, without an in-person or telephonic hearing, unless the arbitrator determines that a hearing is necessary. Nothing in this Section prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a Dispute by arbitration.
CLASS ACTION WAIVER. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE CONSUMER AND GLAUKOS EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND, WHETHER IN ARBITRATION OR IN COURT. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
If the class action waiver in the preceding paragraph is found to be unenforceable or void as applied to a particular claim, then that claim shall be severed and may proceed in a court of competent jurisdiction, and not in arbitration. All remaining claims shall continue in individual arbitration to the maximum extent permitted by applicable law.
Mass Arbitration. If twenty-five (25) or more Consumers initiate arbitration demands raising substantially similar claims, the parties agree that such claims shall be subject to the JAMS Mass Arbitration Procedures and Guidelines (effective May 1, 2024), which are available at www.jamsadr.com/mass-arbitration-procedures and are incorporated herein by reference.
Opt-Out Right. A Consumer who does not wish to be bound by this arbitration agreement may opt out by sending a written opt-out notice to legal@glaukos.com within thirty (30) days of first accessing the Websites or, for existing users, within thirty (30) days of the effective date of these Terms of Use. The opt-out notice must include the Consumer’s name, address, and a statement that the Consumer elects to opt out of the arbitration agreement. Opting out of arbitration does not affect any other provision of these Terms of Use. If a Consumer opts out, any Dispute shall be subject to the governing law and jurisdiction provisions set forth in the Location and Applicable Law section above.
The arbitration and class action waiver provisions in this section apply only to users located in the United States. Users located outside the United States should refer to the Location and Applicable Law section regarding applicable dispute resolution mechanisms.
Miscellaneous Provisions
These Terms of Use, as modified from time to time and including the supplemental terms and policies incorporated by reference, set forth the entire understanding and agreement between you and Glaukos with respect to the subject matter hereof. Glaukos shall not be liable for any delay or failure in performance under these Terms of Use resulting from acts of God, civil or military authority, war, labor disputes, materials provided by third parties, or any cause beyond the reasonable control of Glaukos. Our failure to exercise any right or provision of these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is found by a court to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision and the other provisions of the Terms of Use remain in full force and effect. Glaukos may assign its rights and duties under these Terms of Use to any party at any time without notice to you. Your rights and duties under these Terms of Use are not assignable by you without consent of Glaukos. The section titles in these Terms of Use are for convenience only and have no legal or contractual effect.
